Under some circumstances Company Formations Ireland can provide a Registered Office Address to accept
limited correspondence on your behalf.
The registered office of a company is that to which CRO correspondence and all formal legal notices addressed to the
company will be sent. The registered office can be anywhere in the State. The address must be a physical location, not
just a post office box number, because people have the right to visit the company's registered office to inspect
certain registers and documents and to deliver documents by hand. A letter addressed to the company at its registered

Activity in the Republic of Ireland
The Companies Registration Office Application form contains a declaration, to be signed by a director or
secretary of the company, that one of the purposes of registering a limited company in Ireland is to carry on an
activity in the State. You must indicate:
the nature of the principal activity of the limited company;
where in the Republic of Ireland it is proposed to carry on the activity;
where the central administration office of the limited company will be normally based.
Activity means any activity that a company may be lawfully formed to carry on and includes the holding,
acquisition or disposal of property of whatsoever kind. A company may not be incorporated and registered
unless it appears to the Registrar of Companies that the company, when registered, will carry on an activity

All company types must have a minimum of 2 directors
At least one of the company directors needs to be resident in the Republic of Ireland
There is an exemption from the requirement of an Irish resident director through the provision
of an S43 Insurance policy bond.
You must state what other directorhips a named director holds. A person is not allowed to hold more than
25 Irish directorships at any one time.
